We’re looking for a high flyer passionate about startups and investment to join our Investment Team. Your role will be to run our execution & portfolio management function.

This position sits within the Investment Team, which is at the core of our operations: the Investment Team works with all entrepreneurs raising funds through Seedrs, from the kick-off of the process through completion of the investment and on all post-investment matters that arise given our position as a legal shareholder. The candidate must have a genuine passion for helping entrepreneurs grow their businesses.

The ideal candidate will be a UK qualified solicitor with at least three years PQE experience in corporate or a related area, with a strong understanding of how venture capital and/or private equity functions.

Job Description

The Legal & Investment Manager will report to the Chief Investment Officer and will be responsible for running the deal execution & portfolio management function of our Investment Team. These two sub-functions currently consist of three team members (two lawyers and a paralegal) who will report to the Legal & Investment Manager.

The role will involve both ‘doing’ and ‘managing’. This is a hands-on operational role and the ideal candidate will keep the team on track to hit short term targets, while also ensuring we’re building for the future.

The Legal & Investment Manager will need to be able to handle their own pipeline of deals, but will also have responsibility for the functions entire pipeline and strategic initiatives.

The deal execution function is responsible for making our investments happen:

  • Running the due diligence process on start-ups that raise funds through Seedrs and ensuring appropriate disclosures are made to investors.
  • Preparation and negotiations of legal documentation for the businesses that successfully raise investment through Seedrs – including subscription agreements, shareholder agreements, articles of association and ancillary documentation.
  • Liaising with local counsel to assist in completion of deals for non-UK businesses that raise investment through Seedrs.
  • Working with our tech and product teams to develop solutions to make this part of the entrepreneurs journey more efficient and to help Seedrs scale.

The portfolio function is responsible for all matters that arise in our role as legal shareholder (as nominee for the investors) post-investment:

  • Reviewing requests for shareholder consent on various matters that arise post-funding – reserved matters, shareholder resolutions, requests to amend constitutional documents etc.
  • Running the process to ensure SEIS/EIS tax relief is delivered to investors where applicable.
  • Ensuring up to date information on all portfolio companies for our monitoring role.
  • Ensuring information which fuels our secondary market is up to date (including valuation information & eligibility criteria are met).
  • Managing exits, distributions of proceeds and winding ups.

The Legal & Investment Manager will be responsible for the day to day management of these functions and for the improvement and scalability of both functions.

Desired Skills and Experience

  • A genuine passion for entrepreneurship and innovation. If you don’t believe that startups will change the world, this job is not for you.
  • Solicitor (England & Wales) with corporate experience. At least three years PQE, but more experienced candidates are welcome!
  • Experience in corporate transactions, including legal due diligence, contract negotiation and a good understanding of shareholder agreements and an understanding of early stage investment space.
  • Strong people management skills are essential, as well as the ability to effectively manage multiple tasks under pressure. We are growing fast and need someone who can manage their team and their own time efficiently.
  • Proactive self-starter: we’re looking for someone who is constantly pushing to improve things for their team and their clients.
  • Flexible worker: Someone who doesn’t mind mucking in with the team when the pressure is on but doesn’t lose sight of the long term goals.
  • Excellent interpersonal skills and a superb telephone manner are also essential – this role requires strong account management skills and the ability to build rapport with clients in stressful situations.
  • Fluent English and excellent writing skills.
